BOOKING TERMS & CONDITIONS

1. DEFINITIONS

In these Terms & Conditions, the following terms have the meanings set out below:

1.1 "Client" means the individual, real estate agency, property manager, or any other organisation submitting a booking request through any channel, including the COMBE Media website, email, telephone, or third-party platforms.

1.2 "COMBE Media" means COMBE Media, operated by Initium Novum Discretionary Trust, and includes its directors, employees, contractors, subcontractors, and authorised representatives.

1.3 "Services" means professional real estate photography, videography (including twilight shoots and video walkthroughs), drone aerial photography and videography, photo and video editing, virtual floor plan creation, and any other media services specified in a Booking Confirmation.

1.4 "Booking Confirmation" means a written communication from COMBE Media explicitly stating "Booking Confirmed" and setting out the scheduled date, time, property address, agreed Services, and Fee.

1.5 "Deliverables" means all digital files produced by COMBE Media for a specific property shoot, including (but not limited to) JPEG and TIFF images, MP4 videos, PDF floor plans, and any other media files specified in the Booking Confirmation.

1.6 "Fee" means the total amount quoted in Australian Dollars (AUD) for the Services, excluding GST unless the Booking Confirmation expressly states the quoted amount is GST-inclusive.

1.7 "Working Day" means Monday to Friday, excluding Queensland public holidays as published by the Queensland Government.

1.8 "Force Majeure Event" means any event or circumstance beyond COMBE Media's reasonable control, including severe weather preventing safe operations, illness of key personnel, equipment failure despite reasonable maintenance, power outages, government-imposed restrictions, natural disasters, or material failures by third parties.

1.9 "Portal" means the COMBE Media client delivery portal or any secure download platform used to deliver Deliverables to the Client.

2. FORMATION OF AGREEMENT

2.1 A Client's booking request constitutes a formal offer to purchase Services subject to these Terms & Conditions.

2.2 No binding contract is formed until COMBE Media issues a written Booking Confirmation specifying the date, time, property address, scope of Services, and Fee. Verbal confirmations do not create a binding agreement.

2.3 These Terms & Conditions constitute the entire agreement between the parties with respect to the Services. Any terms appearing on a Client's purchase orders, emails, or other documents are expressly excluded unless COMBE Media agrees otherwise in writing within the Booking Confirmation.

2.4 Quotes are valid for 30 days from the date of issue unless otherwise stated.

3. PAYMENT TERMS

3.1 No deposit is required to secure a booking unless explicitly stated in the Booking Confirmation.

3.2 Deliverables will be made available to the Client via the Portal or secure download link upon completion of the shoot. Full payment of the Fee is due within 21 days of the date the Deliverables are made available.

3.3 COMBE Media will issue a payment reminder to the Client at or around the 21-day due date. It is the Client's responsibility to ensure payment is received by the due date regardless of whether a reminder is received.

3.4 All Deliverables remain the exclusive intellectual and physical property of COMBE Media until payment is received in full and cleared funds have been confirmed.

3.5 COMBE Media reserves the right to revoke Portal or download access where payment remains outstanding beyond the 21-day due date.

3.6 Overdue accounts may result in: (a) suspension of Portal access; (b) refusal of future bookings; (c) referral to a debt collection agency; and (d) the Client being placed on a no-service list. COMBE Media reserves the right to recover all reasonable costs of collection, including legal costs, from the Client.

3.7 All Fees are quoted in AUD. GST at the prevailing rate (currently 10%) applies unless the Booking Confirmation expressly states the Fee is GST-inclusive.

4. CANCELLATION, RESCHEDULING & NO-SHOW POLICY

4.1 Cancellation Fees

Cancellations received more than 6 hours before the scheduled start time: no cancellation fee applies.

Cancellations received within 6 hours of the scheduled start time: a flat $50 (AUD) cancellation fee applies.

No-show (Client, agent, or property representative absent at the scheduled time), inaccessible property (locked gates, no access despite codes provided), or an unprepared property (unclean, cluttered, unstaged, or personal items visible): the full $50 late-cancellation fee applies.

4.2 Rescheduling & Postponement

4.2.1 Clients may reschedule or postpone appointments up to 4 hours before the scheduled start time by contacting COMBE Media directly or via their booking confirmation email.

4.2.2 Three or more reschedules for the same property may, at COMBE Media's discretion, be treated as a new booking subject to the full Fee.

4.3 Special Circumstances

4.3.1 Where COMBE Media personnel are en route or already on site when the Client cancels, a minimum $100 call-out fee applies, regardless of the reason for cancellation.

4.3.2 COMBE Media may postpone a shoot without penalty where unsafe or unsuitable conditions are identified before departure from base, including electrical hazards, aggressive animals, water leaks, or active construction. The Client must notify COMBE Media of known hazards at least 24 hours before the scheduled shoot.

4.3.3 If COMBE Media cancels due to illness, equipment failure, or a Force Majeure Event, the Client will receive either a full refund or a reschedule at no additional cost. COMBE Media is not liable for any indirect losses suffered by the Client, including marketing delays or lost sales opportunities.

4.4 Travel

Standard travel within the Brisbane, Sunshine Coast, and Gold Coast regions is included in the Fee. Jobs outside this radius may incur additional travel charges, which will be disclosed to the Client prior to Booking Confirmation.

5. CLIENT RESPONSIBILITIES

5.1 The Client must ensure:

Safe, unobstructed access to the property's interior and exterior is available at the exact scheduled time.

The property is clean, decluttered, and staged appropriately for professional photography (including made beds, cleared surfaces, hidden laundry, and accessible light switches).

All required permissions have been obtained from property owners, tenants, strata corporations, body corporates, or managing agents prior to the shoot.

Accurate access details — including gate codes, alarm codes, key safe locations, and parking instructions — are provided to COMBE Media at least 48 hours before the scheduled shoot.

COMBE Media is notified of any known hazards (pools, uneven surfaces, aggressive animals, electrical issues, or active construction) at least 24 hours before the scheduled shoot.

5.2 The Client indemnifies, defends, and holds harmless COMBE Media and its personnel against all claims, damages, losses, liabilities, and expenses (including legal costs) arising from: property conditions; access issues; inaccurate information provided by the Client; or any failure by the Client to comply with clause 5.1.

6. DRONE OPERATIONS & CASA COMPLIANCE

6.1 All drone operations are conducted by CASA-accredited operators in accordance with applicable civil aviation regulations, utilising sub-2 kg commercial drones.

6.2 Drone flights are conducted only in approved airspace, in suitable weather conditions (wind below 15 knots, rain-free, adequate visibility), and where otherwise safe to do so.

6.3 Prior to booking, the Client must confirm that the property is not located within restricted or controlled airspace (including near airports, military bases, or active emergency zones). COMBE Media accepts no liability for drone services that cannot be performed due to airspace restrictions that were not disclosed at the time of booking.

6.4 Where drone operations are prevented or curtailed due to weather, airspace restrictions, or CASA directives, the affected aerial services will be either omitted from the Deliverables or rescheduled. No penalty or refund will apply to COMBE Media in these circumstances.

7. DELIVERY & REVISIONS

7.1 Standard delivery of Deliverables is within 2–5 Working Days of shoot completion, via the Portal or a secure download link.

7.2 One round of minor revisions is included in the Fee. Minor revisions are limited to basic colour correction, minor cropping, and brightness or contrast adjustments.

7.3 Additional editing beyond the scope of minor revisions (including object removal, virtual staging, or significant retouching) will be quoted and charged separately at $25 per photo or at COMBE Media's then-current rates.

7.4 The Client must notify COMBE Media of any delivery issues or requests for revision within 5 Working Days of receiving the Deliverables. After this period, Deliverables are deemed fully accepted as delivered and no further revision rights apply.

8. INTELLECTUAL PROPERTY & USAGE RIGHTS

8.1 All Deliverables remain the exclusive intellectual property of COMBE Media at all times, regardless of payment status.

8.2 Upon receipt of full payment in cleared funds, COMBE Media grants the Client a non-exclusive, non-transferable, non-sublicensable, perpetual licence to use the Deliverables solely for the purpose of marketing the specific property identified in the Booking Confirmation.

8.3 Prohibited Uses

The following uses of Deliverables are strictly prohibited:

Selling, reselling, licensing, or sub-licensing Deliverables to any third party.

Using Deliverables in connection with any property, project, or purpose other than the specific property identified in the Booking Confirmation.

Removing, altering, or obscuring any watermark, metadata, or copyright notice applied by COMBE Media.

8.4 Social Media Requirement: The Client must credit COMBE Media (via the tag @combemedia or COMBE Media's then-current official social media handle) in every social media post, story, or reel featuring Deliverables, unless COMBE Media provides prior written waiver.

8.5 COMBE Media's Rights: COMBE Media may feature Deliverables in its portfolio, website, marketing materials, social media, and promotional content, unless the Client provides written objection before the shoot commences.

8.6 Breach: Any breach of this clause 8 immediately and automatically revokes the Client's licence under clause 8.2. COMBE Media reserves the right to pursue damages, including licensing fees and all associated legal costs.

9. INSURANCE

9.1 COMBE Media holds public liability insurance. Policy number: CC1155370. Clients may request written confirmation of coverage upon reasonable written notice.

9.2 COMBE Media's insurance does not cover the Client's own property, equipment, or losses. The Client is responsible for maintaining any insurance relevant to the property and its contents during the shoot.

9.3 Notwithstanding clause 9.1, COMBE Media's liability in any circumstances remains subject to the limitations set out in clause 10.

10. LIABILITY

10.1 To the maximum extent permitted by applicable law, COMBE Media's total aggregate liability to the Client arising from or in connection with the Services — whether in contract, tort (including negligence), statute, or otherwise — shall not exceed the Fee actually paid by the Client for the specific booking giving rise to the claim.

10.2 To the maximum extent permitted by applicable law, COMBE Media is not liable for any indirect, consequential, special, incidental, or punitive loss or damage, including loss of profits, loss of revenue, marketing delays, lost sales opportunities, or business interruption, however arising.

10.3 Nothing in these Terms & Conditions excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by any legislation (including the Australian Consumer Law) where to do so would contravene that legislation or cause any part of these Terms & Conditions to be void.

10.4 The Client indemnifies COMBE Media against all claims, losses, damages, and expenses (including legal costs on a solicitor-and-own-client basis) arising from the Client's misuse of Deliverables or any breach of these Terms & Conditions by the Client.

11. FORCE MAJEURE

11.1 If a Force Majeure Event prevents or delays COMBE Media's performance of any obligation under these Terms & Conditions, that obligation is suspended for the duration of the event without penalty or liability to either party.

11.2 COMBE Media will notify the Client as soon as reasonably practicable upon becoming aware of a Force Majeure Event that affects the Client's booking.

11.3 If a Force Majeure Event causes a delay exceeding 30 consecutive days, either party may terminate the agreement by written notice. In that event, the Client is liable only for payment of any Services completed up to the date of termination.

12. CONFIDENTIALITY & PRIVACY

12.1 Both parties must keep confidential all non-public information received from the other party in connection with the Services, and must not disclose such information to any third party without the disclosing party's prior written consent.

12.2 COMBE Media handles personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. COMBE Media's Privacy Policy is available at www.combemedia.com.

12.3 The Client is solely responsible for obtaining all necessary consents from individuals who may appear in the Deliverables, including tenants, owners, and any other persons present at the property during the shoot.

13. GOVERNING LAW & DISPUTE RESOLUTION

13.1 These Terms & Conditions are governed exclusively by the laws of Queensland, Australia.

13.2 The courts of Queensland, Australia have exclusive jurisdiction over all disputes arising from or in connection with these Terms & Conditions or the Services.

13.3 Before commencing legal proceedings, both parties agree to attempt in good faith to resolve any dispute through direct negotiation. If the dispute is not resolved within 14 days of written notice, either party may refer the matter to mediation or other alternative dispute resolution before resorting to litigation.

14. GENERAL

14.1 Entire Agreement: These Terms & Conditions, together with the Booking Confirmation, constitute the entire agreement between the parties with respect to the Services and supersede all prior representations, negotiations, and agreements.

14.2 Severability: If any provision of these Terms & Conditions is found to be invalid, illegal, or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.

14.3 Waiver: A failure by either party to exercise, or a delay in exercising, any right under these Terms & Conditions does not constitute a waiver of that right.

14.4 Amendment: COMBE Media may update these Terms & Conditions from time to time. The version in force at the time of Booking Confirmation applies to that booking.

14.5 Assignment: The Client may not assign, transfer, or subcontract any rights or obligations under these Terms & Conditions without the prior written consent of COMBE Media.

15. ACCEPTANCE

By submitting a booking request to COMBE Media through any channel, the Client confirms that they have read, understood, and agree to be legally bound by these Terms & Conditions in their entirety. No handwritten or electronic signature is required; submission of a booking request constitutes acceptance.
